Pink Sheets

Pink Sheets, officiellement Pink Quote, est un système électronique opéré par Pink OTC Markets servant à afficher le cours de différents actifs financiers négociés gré à gré. Les vendeurs d'actifs et autres intermédiaires financiers peuvent recourir à Pink Quote pour publier leur offre et demander une soumission pour un actif. Le nom de ce système électronique rappelle une certaine époque : de 1913 jusque vers l'an 2000, les cours étaient publiés sur du papier rose (pink en anglais) par le National Quotation Bureau.

Les compagnies listées sur Pink Quote n'ont pas à se soumettre à différentes obligations légales, telle la production d'états financiers vérifiés. À l'exception des sociétés étrangères, la plupart représentées par des ADR, les compagnies listées sont détenues par peu de personnes, sont très petites ou sont très peu négociées. La plupart n'atteignent pas les (en) exigences établies par la SEC pour être négociables en bourse.

Plusieurs parmi ces compagnies ne remettent pas périodiquement de rapports financiers à l'intention de la SEC ou remettent des rapports financiers non vérifiés. Pour ces raisons, il est le plus souvent difficile de trouver de l'information valide et non biaisée à leur propos. La SEC qualifie les compagnies listées sur Pink Quote comme des investissements spéculatifs et recommande aux investisseurs d'effectuer des recherches exhaustives sur ces compagnies avant d'y investir.

L'acquisition d'actions listées sur Pink Sheets est habituellement difficile. Les intermédiaires financiers ont l'obligation de rejeter les commandes d'acheteurs peu aguerris qui basent leurs achats sur des rumeurs ou de prétendus « tuyaux ». Certains hommes d'affaires tel que le tristement célèbre Yannick Enry, ont fait fortune sur ces rumeurs. On raconte que ce dernier aurait gagné plus de 120mio d'actif sur une rumeur concernant une épidémie dans le bétail caprins. Plusieurs titres ne sont négociables que dans un État américain, ce qui oblige à recourir à un intermédiaire accrédité, par exemple, pour les acquérir.
